This document is an electronic record prepared in terms of Information Technology Act, 2000 and rules made there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

 

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and user agreement for access or usage of Pada Delivery App.

 

Your use of the Pada Delivery App (hereinafter referred to as the “Pada Delivery App”, “Pada App” or “App”) and its products, services and Application} is governed by the terms and conditions as contained in this Agreement applicable to the Application is an internet-based portal owned and operated by Snow codes Tech Biz LLP ("Company") with its registered office located at 24/4, 4th Main, Vinayaka Layout, Whitefield, Bengaluru, Karnataka-560066. This indenture documenting your terms of use of App’s services is a legally binding agreement executed by click-wrap contract between you, (hereinafter referred to as the “user” or “you”) and the Company (together with its Associates and Affiliates).

 

To obtain any services of the Pada App you are required to read and agree with these Terms of Use, Privacy Policy, and other policies implemented and published on the Platform from time to time or any amendments and all applicable laws thereof (collectively referred to as the “Terms”). By accepting these Terms in any manner or accessing the Pada App, you consent, agree, and undertake to abide, be bound by and adhere to these Terms and if you do not agree to these Terms of Use, you are not entitled to avail of/use the Pada App and any use thereafter shall be unauthorised use of the  Pada App’s Services. These Terms of Use apply to all users of the App, including but not limited to users who are browsers, vendors, customers, merchants, and/ or contributors of content.

 

Definitions:

 

The following terminology applies to these Terms and Conditions, Privacy Policy, Disclaimer Notice, and all Agreements:

 

  1. "Customer", "User", "You", "Your"

These terms refer to any natural or legal person who accesses the Pada Delivery App, its contents, and uses the products and services offered on or through the App. A "Customer" or "User" is someone who has agreed to become a member of the App by providing Registration Data (as defined below).

 

 

 

  1. "Delivery Partner"

Refers to the entity or individual registered on the Pada Delivery App Platform who is responsible for fulfilling the delivery of goods and/or providing logistics services as requested by users. Unlike independent third-party service providers, Delivery Partners operate directly under the Pada Delivery App, which facilitates and manages the delivery process through its platform. Delivery Partners are not separate service providers but rather an integral part of the app's operational network.

 

  1. "Registration Data"

The information provided by a user upon registering on the Pada Delivery App as a Registered User or Guest User. This may include personal details such as phone numbers, email addresses, and other required information for account creation. The Registered User is assigned a unique identification username ("User ID") and password upon completing registration.

 

  1. "Pada Delivery App""We", "Us", "Our"

Refers to Pada Delivery App, a technology platform providing delivery and logistics services. This term also includes its associates, affiliates, subsidiaries, employees, officers, agents, representatives, and third-party contractors.

 

  1. "Intellectual Property Rights"

Refers to all patents, trademarks, service marks, logos, copyrights, trade secrets, domain names, utility models, designs, inventions, brand names, and business names, including any applications for registration of these rights. This term covers both registered and unregistered rights and includes any benefits or rights related to the aforementioned intellectual property.

 

  1. "Applicable Law"

Refers to all laws, ordinances, statutes, rules, orders, decrees, injunctions, licenses, permits, approvals, authorizations, consents, waivers, privileges, agreements, and regulations established by any governmental authority, court of law, or other legal body that has jurisdiction over the relevant matter. This term also includes any applicable interpretations or amendments of these laws.

 

  1. "Platform"
    Refers to the Pada Delivery App mobile application, Pada Delivery App, or any other digital interface through which users access and avail themselves of the services offered by Pada Delivery App.

 

  1. "Services"
    Refers to the various delivery, logistics, and other related services provided by the Pada Delivery App through its platform, which includes the facilitation of package pickup, drop-off, and other transportation-related services provided by the Delivery Partners.

 

 

  1. "Transaction"
    Refers to any action or set of actions initiated by a User to avail services through the Pada Delivery App, including placing an order, confirming a booking, or completing a payment for the delivery services.

 

  1. "Offer"
    Refers to any promotional discounts, rewards, or special incentives that may be provided by Pada Delivery App to Users, which are subject to terms and conditions specified by the platform. Offers may include, but are not limited to, cashbacks, voucher codes, or third-party payment method discounts.

 

  1. "Privacy Policy"

Refers to the document that outlines how Pada Delivery App collects, uses, protects, and shares the personal information of its Users. The Privacy Policy governs the collection and use of data by the platform.

 

  1. "Third-Party Content"

Refers to any content, materials, or information provided by parties other than Pada Delivery App. This includes, but is not limited to, advertisements, reviews, and other user-generated content available on the platform.

 

  1. "User Account"

Refers to the personal account created by a user to access and use the Pada Delivery App. A User Account contains the User’s unique credentials (User ID and Password) and is used to manage their transactions, service requests, and preferences.

 

  1. "Force Majeure"

Refers to any event or circumstance beyond the reasonable control of Pada Delivery App, such as natural disasters, war, strikes, or governmental restrictions, which may impact the delivery of services or fulfilment of obligations under the Terms and Conditions.

 

  1. "Transaction Fees"

Refers to any fees, charges, or commissions imposed by Pada Delivery App for the use of services on the platform. These may include delivery charges, cancellation fees, or any other charges associated with transactions processed through the platform.

 

  1. "Service Zone"

Refers to the geographical areas within which Pada Delivery App offers its delivery and logistics services. The Service Zone is subject to change based on operational availability and user demand.

 

 

Absolute Consent:

 

Upon “Acceptance”, this User Agreement shall be effective and binding upon you along with any amendments made by the App at its sole discretion and posted on the App and you shall not claim invalidity of this User Agreement merely on the grounds that this MOU is being concluded electronically. For the aforesaid purposes, “Acceptance”,  shall mean your affirmative action in clicking on the “Register” button; as provided on the registration page or clicking on “Buy now” button, while transacting as Guest User or any act which reflects your use of the App or the services provided by the App or any such other actions that implies your acceptance.

 

You hereby further agree that this User Agreement is being concluded and executed at Bangalore. Your use of the App implies that you agree with the terms of the User Agreement. If you do not agree or are not willing to be bound by the terms and conditions of this User Agreement and Rules and Policies as displayed on the App, please do not click on the “Register” button and/or “ Buy Now” button and do not seek to obtain access to or otherwise use the App.

 

Terms for Delivery Services

 

The "Pada Delivery App" is a mobile application platform that facilitates a connection between registered users ("Users") and delivery partners ("Delivery Partners") who provide transportation and/or logistics services. By using the services, you acknowledge and agree that:

  1. All transportation and/or logistics services provided by Delivery Partners are an integral part of the Pada Delivery App's operations and are facilitated directly through the platform.
  2. The Pada Delivery App is responsible for managing the delivery process and providing end-to-end logistics services through its Delivery Partners.
  3. Delivery Partners are not independent third-party service providers. They operate under the structure of the Pada Delivery App and are part of its operational framework.
  4. The Pada Delivery App does not act as a transportation carrier, common carrier, or public carrier in any capacity, but facilitates and ensures the provision of logistics services through its Delivery Partners.

 

 

General Terms for Use of Pada Delivery App Services

 

By registering on the Pada Delivery App platform (“Platform”), you agree to the following terms and conditions:

 

1.     Registration Requirements

a.     To use the Platform, you must provide accurate and complete personal information, including your name, contact details, and a valid phone number, during the registration process.

b.     You are the sole authorized user of your account, and your account must not be sold, transferred, or shared with any third party.

c.     As part of the registration process, you may be required to undergo a verification process to confirm your identity and set up your account

 

  1. Platform Features and Programs

a.     Pada Delivery App reserves the right to include or exclude you from any promotions, referral programs, or loyalty programs at its sole discretion.

 

  1. Information Accuracy and Updates

a.     You confirm that the information provided at the time of registration is accurate, complete, and up-to-date. In the event of any changes to your information, you must notify Pada Delivery App in writing at least seven (7) days before such changes take effect.

b.     Pada Delivery App does not independently verify the information provided by you and shall not be liable for any inaccuracies.

 

  1. User Content and Platform Display

a.     Pada Delivery App has the right to display any information, feedback, ratings, or reviews you provide on the Platform.

 

  1. License to Use the Mobile Application

a.     You are granted a limited, non-exclusive, non-transferable license to install and use the Pada Delivery App software (“App”) on your personal device, solely for accessing the services provided through the Platform.

b.     Ownership of the App and all associated rights are retained by Pada Delivery App and its licensors.

 

  1. Prohibited Activities

You agree not to:

a.    Rent, lease, sublicense, distribute, or transfer the App or its license to any third party.

b.   Use the App or Platform for commercial purposes other than as permitted by the Platform.

c.    Use automated tools (e.g., bots, crawlers) or manual processes to scrape or access the Platform’s content.

d.   Compromise the Platform’s security or attempt to bypass its authentication measures.

e.    Reverse-engineer, decompile, disassemble, or create derivative works from the App.

f.    Introduce harmful code, such as viruses or malware, into the Platform or App.

g.    Install or execute the App on unauthorized devices or operating systems.

 

  1. Account Suspension and Termination

a.     Pada Delivery App reserves the right to suspend or terminate your account if:

·       The information provided by you is found to be false, incomplete, or outdated.

·       There is a breach of any of these terms and conditions.

b.     In such cases, Pada Delivery App may also refuse future access to the Platform or its services.

 

  1. Disclaimer of Liability

a.     Pada Delivery App shall not be held liable for the accuracy, completeness, or reliability of the information you provide on the Platform.

By continuing to use the Pada Delivery App, you acknowledge and accept these terms and conditions.

 

Delivery Services

 

The Platform provides the following services:

 

  1. Connection to Delivery Partners:

The Platform enables you, as a Registered Mobile User, to connect with Delivery Partners offering “Package Delivery” services.

 

  1. Ratings and Reviews:

You are entitled to provide ratings, comments, and reviews about the Delivery Partners and Merchants via the Platform.

 

 

  1. Service Improvement:

The Platform facilitates the enhancement of the services offered by Pada Delivery App based on the ratings, reviews, and feedback provided by Users.

 

  1. Service Modification or Withdrawal:

Pada Delivery App reserves the right to, at its sole discretion, add, modify, upgrade, extend, withdraw, or remove any of the services listed above at any time. Pada Delivery App does not guarantee the availability of the Services at all times.

5.     Role of Pada Delivery App:

You acknowledge and agree that the Pada Delivery App directly facilitates and manages delivery and logistics services through its Delivery Partners, who operate as part of its network. The Pada Delivery App is actively involved in the coordination and execution of these services.

6.     Liability Disclaimer:

Users may report issues such as delays, damage, mishandling of items, or any other service-related concerns to the Pada Delivery App. Upon receiving such reports, the Pada Delivery App will take reasonable measures to address and resolve the matter

  1. Liability for Loss of Parcel:

In the event of verified loss of a parcel due to mishandling by a Delivery Partner, Pada Delivery App may, at its discretion, offer compensation up to a maximum of INR 50 (Rupees, fifty) , based on the GST invoice provided. The invoice must be uploaded during the booking of the delivery for the claim to be valid. Claims for lost items will be void without a valid GST invoice.

 

  1. Prohibited Items and Transactions:

You agree not to initiate any transaction for the delivery or purchase of items that are illegal, immoral, unethical, unsafe, or violate applicable laws. This includes, but is not limited to, narcotic drugs, psychotropic substances, or any hazardous materials. Pada Delivery App shall not be responsible for any indirect, direct, or consequential damage, loss, or expenses resulting from such transactions.

 

  1. Package Verification:

Pada Delivery App does not verify or check the contents of packages being delivered or picked up. As such, Pada Delivery App assumes no responsibility for the nature of items being transported. However, if Pada Delivery App learns that illegal or dangerous substances are being transported, it reserves the right to report the matter to appropriate authorities and take legal action.

 

  1. Exclusion of Liability for Damages:

Pada Delivery App shall not be liable for any form of damage, loss, cost, or expense incurred by you arising from your use of the Pada Delivery App Services, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

 

  1. Termination of Service Requests:

Pada Delivery App reserves the right to terminate any request for services at its discretion, without providing any reason.

 

  1. Delivery Partner Conduct:

You acknowledge that the Pada Delivery App facilitates delivery services through its Delivery Partners. The scheduling and rescheduling of deliveries are subject to the availability of Delivery Partners in your area at the time of the request. While the Pada Delivery App endeavours to ensure seamless service, it cannot guarantee that a Delivery Partner will always be available to fulfil a request. The Pada Delivery App will take reasonable steps to address any concerns reported by users in accordance with its policies.

 

  1. Location-Based Services:

Pada Delivery App may use your location information, collected via GPS when using the mobile app, to provide and enhance services. This information will only be used for the purpose of facilitating the services provided to you on the Platform.

 

  1. Refusal of Tasks:

Pada Delivery App reserves the right to refuse any task that is deemed immoral, unethical, unlawful, or in violation of applicable laws. Additionally, tasks prohibited under any contract to which Pada Delivery App is a party may also be refused.

 

  1. Complaint Procedure:

If you have a complaint regarding the Pada Delivery App Services, you must notify Pada Delivery App in writing within 24 (twenty-four) hours of using the service. Failure to do so may result in the loss of any right to file a complaint.

 

Undertaking & Acknowledgement

 

You confirm and undertake that you are either the owner or an authorized agent of the owner of the goods and materials comprising any requested shipment. By accepting these Terms, you are doing so not only for yourself but also, where applicable, on behalf of the owner of the goods and materials being shipped.

 

You acknowledge that the Delivery Partners will act upon your instructions to transport the shipments to your designated delivery address. You are responsible for providing clear, accurate, and executable instructions to the Delivery Partners. Any additional costs arising from discrepancies between the information you have provided and the actual facts or circumstances will be your responsibility. Should you wish to amend or alter any instructions, including adjustments to pricing or costs resulting from such changes, these must be approved and updated accordingly.

 

In the event that the recipient is unavailable at the specified address and no alternative instructions have been provided, the Delivery Partner will attempt to contact you using the contact information you have provided. The Delivery Partner will attempt to return the shipment to you. If the Delivery Partner is unable to reach you, they reserve the right to take appropriate action regarding the shipment. Any additional handling or transportation costs incurred will be borne by you. Pada Delivery App and the Delivery Partner shall not be liable for any loss or damage to the shipment, except in cases of willful misconduct or gross negligence.

 

If re-transportation of the shipment is required, a new transportation order will be created, and the associated costs will be billed accordingly.

 

Pada Delivery App accepts shipments only based on your declaration of the type and value of the shipment, which is accepted on a "said to contain" basis. We do not assume any responsibility for the accuracy of the description, type, or value of the goods declared by you. You agree to indemnify and hold Pada Delivery App harmless from any claims, losses, or expenses arising from or relating to such declarations, as well as any costs incurred by us in connection with those claims.

 

Neither Pada Delivery App nor the Delivery Partners will bear any liability or legal responsibility for the transportation of shipments.

 

You are responsible for ensuring that shipments are adequately packed to prevent damage during transit. The packaging should be such that no part of the shipment can be removed without the packaging, container, or seal being damaged, torn, or broken. Specifically, fragile shipments must be marked with clear indications of fragility, prominently displayed on the packaging or container, and above the recipient’s address.

 

The Delivery Partner is not responsible for packing or wrapping items. It is expected that you will have all items properly packed and ready for transport before the Delivery Partner arrives.

 

User Information

 

You are solely responsible for, and retain control over, the information you provide to Pada Delivery App. The compilation of User Accounts, including those associated with contact numbers and email addresses, are owned by Pada Delivery App. Furthermore, you understand and agree that certain information provided may be case-sensitive and must be handled with due care and prudence.

 

In the event that the Platform is unable to establish the unique identity of a User based on a valid mobile number or email address, the User Account may be indefinitely suspended. Pada Delivery App reserves the right, at its sole discretion, to suspend a User’s Account under such circumstances and shall not be obligated to share any Account-related information.

 

Payment Terms

 

Package Delivery Service

 

When initiating a request for the Pick Up and Drop Off Service, you shall pay the service fees as displayed on the Platform. You are required to make the full payment of the service charges provided to you, which will be considered as a payment made directly to the Delivery Partner.

The transaction currency shall be Indian Rupees (INR), and payments in any other currency will not be accepted. Applicable taxes (such as GST) will be charged as per the prevailing rates.

Pada Delivery App reserves the right to revise the service charges or any other occasional fees, including but not limited to surcharges during periods of increased demand, without prior notice.

 

You agree that Pada Delivery App may engage third-party vendors, including payment gateways, to process payments made by you on the Platform.

 

Payment Methods

Accepted payment methods include:

  • Cash on Delivery (COD)
  • UPI

 

Any payment-related issues, except those caused by an error or fault of Pada Delivery App, shall be resolved directly between you and the Payment Processor or Gateway. The processing of payments is subject to the terms and conditions, privacy policies, and other applicable agreements of the Payment Gateways or Processors, as well as your credit card issuer, in addition to these Terms.

 

Pada Delivery App will not be held liable for any issues, errors, or faults arising from the Payment Processors or Gateways.

 

Cancellation and Refund Policy

 

Cancellation Fee

 

For transactions initiated on the Platform, where work has already commenced by the Delivery Partner, a cancellation fee will be applicable.

  • All cancellations made after the Delivery Partner has accepted the order will incur a cancellation fee of INR 50 (Indian Rupees Fifty only).
  • Users may cancel the order at any time before the Delivery Partner has accepted the order.

For cancellations facilitated by a Customer Support agent, please contact us via the Pada Delivery App or app. Our specialist will attend to your request during working hours, subject to availability and the waiting period specified by Customer Support instructions.

 

Right to Cancel by Pada Delivery App

 

Pada Delivery App reserves the right to cancel any transaction initiated by you on the Platform under the following circumstances:

  1. The designated address provided by you for the Pada Delivery App services is outside the serviceable zone.
  2. There is a failure to obtain your response via phone or any other communication channel at the time of order confirmation.
  3. The transaction involves the supply, delivery, or purchase of materials that are illegal, offensive, or in violation of these Terms of Use.
  4. The information, instructions, and authorizations provided by you are incomplete or insufficient to process the transaction initiated on the Platform.
  5. A Delivery Partner is unavailable to perform the requested services.
  6. The transaction cannot be completed due to reasons beyond the control of Pada Delivery App.

Pick Up and Drop Off Services

As part of the Pada Delivery App services, we provide you with the option to avail the Pick Up and Drop Off Services facilitated by our Delivery Partners.

You may initiate a transaction on the Platform to send packages to a designated location with the help of a Delivery Partner. These services are directly provided by the Delivery Partner, facilitated by the Pada Delivery App.

Upon initiating a request for Pick Up and Drop Off Services on the Platform, Pada Delivery App will assign a Delivery Partner based on the availability of Delivery Partners in your area. The Delivery Partner will pick up the items from the location you specify on the Platform and drop them off at a location you designate. While performing these services, the Delivery Partner will act as your agent, following the instructions you provide.

You acknowledge and agree that the pick-up and drop-off locations are provided by you voluntarily, and such information will be used solely for the purpose of providing Pada Delivery App services. This information will be handled in accordance with the Pada Delivery App Privacy Policy.

You agree that you will not request Pick Up and Drop Off Services for items that are illegal, hazardous, dangerous, restricted, or prohibited by any law, regulation, or these Terms of Use.

You further confirm that before requesting a Pick Up and Drop Off Service, you are fully aware of the contents of the package you are sending, and that such contents are legal and within the limits of transportation under applicable laws. You acknowledge that the items you request to be transported will not include anything that is restricted, banned, dangerous, or prohibited for carriage. These items include, but are not limited to: radioactive materials, incendiary substances, corrosive or flammable chemicals, explosives, firearms, ammunition, firecrackers, biological or hazardous waste, narcotics, psychotropic substances, contraband, and any items for which specific authorization or a license is required for transportation under applicable law.

You also understand that the Delivery Partner may choose to perform the Pick Up and Drop Off Services at their discretion.

If Pada Delivery App or the Delivery Partner becomes aware of any unlawful activity or potential offense on your part, or if the items being transported are restricted under applicable law, the Delivery Partner may report such information to Pada Delivery App or relevant law enforcement authorities.

Pada Delivery App may offer promotional offers and you acknowledge and agree that these Offers are extended at Pada Delivery App’s sole discretion, and you are not entitled to any of the Offers unless you meet the specific terms and conditions outlined for each offer. You should carefully review the terms and conditions of each offer before availing it.

Eligibility to Use

The services of the App are available only to persons who are competent to enter into a legally binding contract under the Indian Contract Act, 1872. Persons who are incompetent to enter into a contract under the Indian Contract Act, 1872, including un-discharged solvents, etc. are eligible for the services provided by this App. In case of a minor i.e.,  under the age of 18 years you may use this App only under the supervision or with consent of a parent or legal guardian who agrees to be bound by these Terms of Use and can transact on behalf of the minor if they are the registered users. Also, The parent or legal guardian is solely responsible for maintaining the confidentiality of their account and password, as well as for restricting access to their computer. They shall also be held accountable for all activities that take place under their account and password.

 

You are prohibited from utilizing our products or services for any unlawful or unauthorized purposes. Any breach or violation of these Terms will lead to the immediate termination of your access to our services, and you shall not be permitted to register as a user or engage in transactions on this App.

 

Pada Delivery App reserves the right to refuse access to the Platform at any time to new users or to terminate or suspend access for existing users, without providing any reasons for such action.

You are permitted to have only one active account on the Platform. Additionally, you are prohibited from selling, trading, or otherwise transferring your account to any other party or from impersonating another individual for the purpose of creating an account.

User Account, Password, and Security

To use the Platform and avail the services of Pada Delivery App, you must register on the Platform and create an account with a unique user identity and password ("Account"). If you are accessing the Platform via a compatible mobile or tablet device, you will need to install the application before proceeding with registration.

You are solely responsible for maintaining the confidentiality of your Account information and for all activities that occur under your Account. You agree to promptly notify Pada Delivery App of any unauthorized use of your Account or any security breach. Pada Delivery App will not be liable for any loss or damage arising from your failure to keep your Account information secure. You may be held liable for any losses incurred by Pada Delivery App or any other user of the Platform resulting from unauthorized use of your Account due to your failure to maintain its confidentiality.

It is expressly prohibited to use another user’s Account information to access the Platform. The privilege to access and use the Platform and Pada Delivery App services is granted exclusively to the account holder.

You agree to use the Platform only for purposes that are (i) permitted by these Terms of Use, and (ii) in accordance with any applicable laws, regulations, or generally accepted practices and guidelines.

You agree not to engage in activities that could adversely affect the functioning or accessibility of the Platform for Pada Delivery App, Delivery Partners, Merchants, or other users.

You represent and warrant that you have not received any notice from any third party or governmental authority, nor is there any pending litigation that would prevent you from accessing the Platform or using Pada Delivery App services.

You further represent and warrant that you are legally authorized to access and use the Platform and avail of the Pada Delivery App services.

You agree not to attempt to access the Platform by any means other than through the interface provided by Pada Delivery App. You shall not use deep links, robots, spiders, automated programs, algorithms, or any similar manual processes to access, acquire, copy, or monitor any portion of the Platform or Pada Delivery App property. Additionally, you shall not attempt to circumvent the navigational structure or presentation of the Platform to obtain any materials, documents, or information through methods not expressly made available through the Platform.

You acknowledge and agree that by accessing or using the Platform, you may be exposed to content from other users that you may find offensive, indecent, or objectionable. Pada Delivery App disclaims any liability for such content on the Platform.

Prohibited Conduct

You agree not to:

1.     Defame, abuse, harass, threaten, or violate the legal rights of others in any manner.

2.     Publish, post, upload, distribute, or disseminate any content that is inappropriate, profane, defamatory, infringing, offensive, obscene, indecent, or unlawful, including content that may harm minors.

3.     Copy, republish, post, display, translate, transmit, reproduce, or distribute any Pada Delivery App property through any medium without obtaining necessary authorization from Pada Delivery App.

4.     Conduct or forward surveys, contests, pyramid schemes, or chain letters without prior consent from Pada Delivery App.

5.     Upload or distribute files that contain software or materials protected by intellectual property laws unless you hold or control the rights or have received all necessary permissions.

6.     Upload or distribute files or documents, including videos (whether live or pre-recorded), that contain viruses, corrupted files, or similar harmful software or programs that may damage the operation of the Platform or another user's computer.

7.     Engage in any activity that interferes with or disrupts access to the Platform (or the servers and networks connected to the Platform).

8.     Attempt to gain unauthorized access to any part of the Platform, systems, or networks connected to the Platform, including through hacking, password mining, or any other illegitimate means.

9.     Probe, scan, or test the vulnerability of the Platform or any network connected to it, or breach any security or authentication measures.

10.  Reverse look-up, trace, or seek to trace any information of other users or visitors to the Platform, to its source, or exploit the Platform to reveal personal information, except your own.

11.  Use any device or software to interfere or attempt to interfere with the proper functioning of the Platform or any transaction conducted on the Platform, or to disrupt other users' experiences.

12.  Use the Platform or any materials for unlawful purposes or for any activity that infringes the rights of Pada Delivery App or third parties.

13.  Falsify or delete any author attributions, legal notices, or proprietary labels on any software or materials uploaded to the Platform.

14.  Impersonate any other user, merchant, delivery partner, or person.

15.  Violate applicable laws or regulations within or outside of India, or infringe upon anyone's right to privacy or personality.

16.  Threaten the unity, integrity, defense, security, or sovereignty of India, or engage in activities that are inciting offenses, disturbing public order, or insulting any nation.

17.  Reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Platform without express authorization.

Disclaimer of Warranties & Liabilities

You expressly understand and agree that, to the fullest extent permitted by applicable law:

1.     Platform and Services Provided "As Is"

The Platform, Pada Delivery App Services are provided on an "as is" basis without any warranty of any kind, either express, implied, statutory, or otherwise. This includes, without limitation, the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

2.     No Guarantee of Service

Without limiting the foregoing, Pada Delivery App does not warrant that:

a.     The Platform or Pada Delivery App Services will meet your specific requirements.

b.     Your use of the Platform will be uninterrupted, timely, secure, or error-free.

c.     The quality of the Platform, or any services or materials obtained through it, will meet your expectations.

d.     Any errors or defects in the Platform will be corrected.

3.     No Creation of Warranties from Communications

No advice or information, whether oral or written, obtained by you from Pada Delivery App or through the Platform shall create any warranty that is not expressly stated in these Terms of Use.

4.     Liability for User Content

Pada Delivery App shall have no liability for any User content arising from intellectual property rights, defamation, privacy, publicity, obscenity, or other legal claims. Pada Delivery App disclaims all liability related to the misuse, loss, alteration, or unavailability of any User content.

5.     Unauthorized Account Use

Pada Delivery App shall not be held liable for any losses or damages you may incur as a result of unauthorized use of your Account or Account information in connection with the Platform, whether with or without your knowledge.

6.     No Responsibility for Service Interruptions

Pada Delivery App shall not be responsible for any delays, or your inability to use the Platform or Pada Delivery App Services, nor for the failure to provide functionalities, or for any information, software, or graphics obtained through the Platform, or arising from the use of the Platform. This includes cases based on contract, tort, negligence, strict liability, or any other legal theory.

7.     Platform Downtime

Pada Delivery App shall not be liable for the unavailability of the Platform during scheduled maintenance or any unscheduled suspension of access to the Platform due to technical issues or reasons beyond Pada Delivery App's control.

8.     Risks of Downloading Content

You understand and agree that any material or data downloaded or otherwise obtained through the Platform is done entirely at your own discretion and risk. You will be solely responsible for any damage to your computer systems or loss of data resulting from the download of such material or data.

Indemnification and Limitation of Liability

1.     Indemnity:

You agree to indemnify and hold harmless Pada Delivery App and (as applicable) its subsidiaries, affiliates, third-parties and their respective shareholders, officers, directors, agents, and employees, from any losses, liabilities, damages, costs and expenses, claims or demand, or actions including reasonable attorney’s fees asserted against or incurred by Pada Delivery App, made by any third party arising out of your breach or non-performance of terms of the User Agreement, rules and policies, or the documents they incorporate by reference, or your violation of any law, rules or regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or the rights of a third party or any other right. The indemnity obligations set forth in this Agreement shall survive the termination or expiration of this Agreement for any reason.

2.     Survival of Indemnification Obligation

Your indemnification obligations under these Terms of Use shall survive the termination of your Account, as well as your use of the Pada Delivery App Services.

3.     Limitation of Liability

In no event shall the Indemnities, be liable to you or any third party for any indirect, consequential or punitive damages whatsoever, arising out of or in connection with your use of or access to the Platform or PADA DELIVERY on the Platform. Your indemnification obligation under the Terms of Use will survive the termination of your Account or use of the Platform. Subject to applicable laws, in no event will PADA DELIVERY or its employee aggregate liability, arising from or related to the PADA DELIVERY Services or the use of the Platform shall not exceed INR 100 for any and all causes of actions brought by you or on behalf of you.

4.     Jurisdictional Limitations

The Pada Delivery App Services are only available to Users located in India. Users are prohibited from accessing or using the Platform from jurisdictions outside India. If a User accesses or uses the Platform from a jurisdiction other than India, the User shall be responsible for ensuring compliance with all applicable laws. Pada Delivery App shall not be held liable for any legal consequences arising from such access or use.

Intellectual Property Rights

All content on the Platform (except for third-party content) including but not limited to names, logos, trademarks, images, text, columns, graphics, videos, photographs, illustrations, artwork, software, and other materials (collectively, “Material”) is protected by copyrights, trademarks, and other intellectual property rights owned or controlled by Snowcodes Tech Biz LLP (“Pada Delivery App”). You acknowledge and agree that such Material is made available for limited, non-commercial, personal use only.

Except as expressly provided herein or elsewhere on the Platform, no Material may be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed for any purpose other than its intended use as stated in these Terms of Use, without Pada Delivery App’s prior written consent. You may not modify, distort, or alter any Material.

Any unauthorized attempt to modify any Material, circumvent security features, or use the Platform or its content for any unauthorized purpose is strictly prohibited. Subject to the restrictions above, Pada Delivery App grants you a non-exclusive, revocable (upon notice), non-transferable access to view the Material on the Platform for personal use only.

Violation of the Terms of Use

You agree that any violation of these Terms of Use will constitute an unlawful and unfair business practice, resulting in irreparable harm to Snowcodes Tech Biz LLP ("Pada Delivery App") and/or its clients/ customers, for which monetary damages would be insufficient. You acknowledge that Pada Delivery App and/or its clients/customers may seek injunctive or equitable relief in such circumstances, in addition to any other remedies available under law.

In the event Pada Delivery App or its clients/customers take legal action against you due to your breach of these Terms of Use, you agree to reimburse Pada Delivery App or its clients/customers for all reasonable attorney’s fees, costs, and expenses incurred in connection with such action, in addition to any other relief granted by the court.

Third Party Content and Linked Pada Delivery Apps:

 

References on this Pada Delivery App to any names, marks, products or services of third parties, or hypertext links to third party Pada Delivery Apps or information or Content provided by third parties, are provided solely as a convenience to you and do not in any way constitute or imply our endorsement, sponsorship or recommendation of the third party, its information, materials or services. We are not responsible for the practices or policies of such third parties, nor the Content of any third party sites, and do not make any representations regarding third party materials or services, or the Content or accuracy of any material on such third party sites. If you decide to link to any such third party sites, you do so entirely at your own risk.

 

Warning Regarding Web Fraud and Phishing:

 

Misuse of our name, brands and reputation by imposters and frauds publishing fake Pada Delivery Apps and engaging in “phishing” scams seeking personal or confidential information. When communicating with Pada Delivery App through digital media, please:

1.     Confirm you are visiting Pada Delivery App’s authorized link.

2.     Do not share your password and login ID with anyone, including anyone from Pada Delivery App.

3.     Do not communicate or deal with personnel who are not affiliated with an authorized office. The authorized office location is listed on our contact page. No other office location is the authorized office of Pada Delivery App.

4.     Do not send emails to anyone with an address other than authorized Pada Delivery App’s e-mail address as is mentioned on the Pada Delivery App.

 

 

 

Amendments:

We reserve the right, at our sole discretion, to change, modify, add or remove portions of the User Agreement, at any time without any prior written notice to you. It is your responsibility to review this User Agreement periodically for updates / changes. Your continued use of the Website following the posting of changes will mean that you accept and agree to the revisions. As long as you comply with the provisions of this Agreement, we grant you a personal, non- exclusive, non-transferable, limited privilege to enter and use the Website.

 

Severability:

If any clause of the User Agreement shall be deemed invalid, void or for any reason unenforceable, such clause shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the User Agreement.

 

Entire Agreement:

This Agreement sets forth the entire understanding and agreement between you and Pada Delivery App with respect to the subject matter hereof.

Mediation:
In the event of any dispute, claim, or difference arising out of or in connection with this Agreement, the parties shall first make all reasonable efforts to resolve the dispute amicably through good faith negotiations and mediation. Either party may submit a written request for mediation to the other party, and both parties shall mutually agree on a neutral mediator. The mediation process shall be conducted in English and shall take place in Bangalore, India. If the parties are unable to resolve the dispute through mediation within 30 (thirty) days from the commencement of the mediation process, the dispute shall be referred to arbitration as outlined below.

 

Arbitration:

Any dispute arising out of or in connection with or in relation hereto shall so far as possible, in the first instance, be amicably settled by and between the parties. In the event of disputes, claim/or differences which are not being amicably resolved, such disputes shall be referred to arbitration by a sole Arbitrator, nominated and appointed by mutual consent of both the parties or if mutual consent of both parties is not possible then each party shall appoint one arbitrator each who then jointly and amicably shall appoint the Presiding Arbitrator, whose decision shall be binding upon both parties. The arbitration proceedings shall be conducted in the English Language and shall be governed by Arbitration & Conciliation Act, 1996, as amended from time to time, or rules made thereunder. The place of Arbitration shall be Bangalore, India.

 

 

Governing Law:

The User Agreement or the documents they incorporate by reference shall be governed and construed in accordance with the laws of India. Subject to clause of Arbitration above, all disputes arising under this Agreement between you and Pada Delivery App shall be subject to the exclusive jurisdiction of courts at Bangalore, India.
